Terms of Service

These Terms of Service ("Terms") govern the use of the Shopap platform provided by Yogardens Agritech Pvt Ltd("we", "us"). By subscribing to or using Shopap, you (the "Customer") agree to these Terms.

1. The service

Shopap provides AI agents that handle business conversations on your WhatsApp business number — turning messages into structured records such as orders, qualified leads and booked appointments, with AI-based understanding, grounding in your business data, and export to the tools you already use, as described on our website and in your proposal.

2. Subscription, billing and renewal

• The service is provided under a subscription. Applicable fees — including any one-time onboarding fee and recurring subscription fees — are set out in the proposal or order form agreed with you before you subscribe.
• Fees are exclusive of applicable taxes (such as GST), which will be charged additionally where required.
• Subscriptions renew for successive billing periods until cancelled.
• We will give at least 30 days' notice before any change to your subscription pricing.

3. Cancellation and refunds

• You may cancel your subscription at any time by written notice to hello@shopap.tech. Cancellation takes effect at the end of the current billing period.
• Any one-time onboarding fee is non-refundable once onboarding work has begun.
• Monthly subscription fees already paid are non-refundable, except where required by law.

4. Support

Support is included in the monthly subscription. Support requests can be sent to hello@shopap.tech or via WhatsApp at +91 93536 64752. We aim to respond to support requests within 7 working days, and in practice usually much sooner.

5. Customer responsibilities

• Provide accurate business information — such as catalogue, pricing, inventory, and customer or contact records relevant to your use of the service — and keep it updated.
• Ensure you have the right to communicate with your customers, prospects or contacts on WhatsApp and to share their information with us for processing.
• Review records and exported data before acting on them — Shopap prepares them, but you remain responsible for your commercial decisions.
• Keep your account credentials and WhatsApp access secure.

6. Data ownership

Your business data — including your catalogue, contact and customer records, pricing, and order and conversation history — belongs to you. We process it only to provide the service, as described in our Privacy Policy. On termination, we will make your data available for export on request before deletion.

7. Intellectual property

The Shopap platform, including its software, AI agent design and underlying technology, is owned by Yogardens Agritech Pvt Ltd. Subscribing to the service grants you a limited, non-exclusive right to use it for your business; it does not transfer ownership of the platform or its intellectual property.

8. Acceptable use

• Use the service only for lawful business purposes.
• Do not use the service to send spam or unsolicited marketing in violation of WhatsApp's policies or applicable law.
• Do not attempt to disrupt, probe or gain unauthorised access to the service.

Your use of WhatsApp remains subject to Meta's WhatsApp Business terms and policies.

9. Limitation of liability

To the maximum extent permitted by law, Yogardens Agritech Pvt Ltd is not liable for indirect, incidental or consequential losses, loss of profits, or loss of business arising from use of the service. Our total aggregate liability for any claim is limited to the subscription fees paid by you in the three months preceding the claim. The service assists with processing; final commercial responsibility for orders, billing and deliveries remains with you.

10. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages of third-party platforms (such as WhatsApp or cloud infrastructure), internet disruptions, natural disasters or government actions.

11. Governing law

These Terms are governed by the laws of India, and courts in Bengaluru, Karnataka shall have exclusive jurisdiction.
